Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of kmaclabs.cloud(the “Site”), which is operated by KMaC labs LLC, a Florida limited liability company (“KMaC labs,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. About the Site

The Site is an informational and marketing website for KMaC labs. It describes our services, presents prior work, and allows prospective clients to contact us about a project. The Site does not provide a mechanism for purchasing services directly. Any engagement to provide services will be governed by a separate written agreement between KMaC labs and the client.

2. Eligibility

The Site is intended for adults of legal age in their jurisdiction who are considering KMaC labs in a business capacity. By using the Site, you represent that you meet these requirements.

3. Acceptable Use

You agree not to:

• Use the Site in any way that violates applicable law or these Terms
• Attempt to gain unauthorized access to the Site, our servers, or any related systems or networks
• Interfere with the Site’s operation, including by introducing malware, attempting to overwhelm our systems, or scraping content at a volume that disrupts service
• Use the contact form to send spam, harassing content, or messages unrelated to a genuine business inquiry
• Reproduce, copy, sell, or otherwise commercially exploit any content from the Site without our prior written permission

4. Intellectual Property

All content on the Site, including text, graphics, logos, photographs, case-study material, and the underlying code, is the property of KMaC labs or its licensors and is protected by United States and international intellectual property laws. The KMaC labs name and logo are trademarks of KMaC labs LLC.

Client work shown in our portfolio remains the property of the respective clients or their licensors. We display it with permission for the limited purpose of presenting our portfolio.

You may view, share, and reference the Site for personal, non-commercial purposes. Any other use requires our prior written consent.

5. Submissions and Feedback

If you send us suggestions, ideas, or feedback through the contact form or any other channel, you grant KMaC labs a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use that feedback for any purpose, without compensation or attribution. You should not send us anything you consider confidential or proprietary unless we have a separate written agreement in place.

6. Third-Party Links and Services

The Site links to third-party sites, including humankindintelligence.ai and websites we have built for clients. We are not responsible for the content, practices, or terms of those sites, and links do not imply our endorsement.

7. Disclaimers

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, KMaC labs disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Information on the Site is provided for general informational purposes and should not be relied on as professional, legal, or business advice.

8. Limitation of Liability

To the fullest extent permitted by law, KMaC labs and its members, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or related to your use of the Site will not exceed one hundred US dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless KMaC labs and its members, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any third-party right.

10. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Modifications

We may modify these Terms at any time by posting an updated version on the Site. The “Effective” date at the top of this page indicates when the Terms were last revised. Continued use of the Site after changes are posted means you accept the revised Terms.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including any violation of these Terms. Sections that by their nature should survive termination, including Intellectual Property, Submissions and Feedback, Disclaimers, Limitation of Liability, Indemnification, and Governing Law, will survive.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or related to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Escambia County, Florida, and you consent to the personal jurisdiction of those courts.

14. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and KMaC labs regarding your use of the Site and supersede any prior agreements.
